                       Mercury Diagnostics Profiler


The Mercury Diagnostics Profiler provides a way for Java / J2EE development
teams to profile applications in the development environment.  The Mercury
Diagnostics Profiler provides a strong foundation for collaborative diagnostics
because it has been built using the same Diagnostics Probe technology that is
used in Mercury's QA load testing products and production monitoring products.

When you use the Mercury Diagnostics Profiler to profile applications that are
under development and solve problems in the development environment, you are
getting a glimpse of the features that are included in the Mercury Diagnostics
Lifecycle Solution that enable you to solve the toughest performance problems
throughout the application's lifecycle.

To configure, you need to simply add a -javaagent argument to the WebLogic
(or JVM) command line.  For example, on Windows you might add:

   -javaagent:C:\BEA\jrockit90_150_04\mercuryprofiler\lib\probeagent.jar

Start your application normally and run the bin/profiler.cmd (on Windows) or
bin/profiler.sh (Unix) script to start the Profiler user interface.

MERCURY DIAGNOSTICS PROFILER SOFTWARE SHRINK-WRAP/CLICK-WRAP LICENSE AGREEMENT

BY CLICKING "I AGREE" OR "YES" OR BY INSTALLING, COPYING, OR OTHERWISE USING
THE SOFTWARE OF MERCURY INTERACTIVE CORPORATION, ITS AFFILIATES ("MERCURY")
AND/OR OF ITS LICENSORS PROVIDED HEREUNDER THAT IS CURRENTLY KNOWN AS MERCURY
DIAGNOSTICS PROFILER OR SUCH OTHER NAME AS MERCURY MAY DESIGNATE ("SOFTWARE"),
INCLUDING ANY "UPDATES" AND "DOCUMENTATION" THERETO (EACH AS DEFINED BELOW),
YOU AS LICENSEE ("YOU") AGREE TO BE BOUND BY THE TERMS OF THIS MERCURY
DIAGNOSTICS PROFILER SOFTWARE SHRINK-WRAP/CLICK-WRAP LICENSE AGREEMENT
("AGREEMENT"). IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT
INSTALL OR USE THE SOFTWARE AND IMMEDIATELY RETURN OR DESTROY IT AND ALL
COMMERCIALLY DISTRIBUTED DOCUMENTATION ACCOMPANYING THE SOFTWARE
("DOCUMENTATION")..

Mercury, or its licensors, owns all intellectual property rights, including
patent, copyright, trade secret, trademark and other proprietary rights, in and
to the Software, Updates and Documentation. Your rights are limited to those
expressly granted in this Agreement. Subject to Your compliance with the terms
of this Agreement, this Agreement grants You a nontransferable and
non-exclusive license to use, solely for Your internal business purposes in a
pre-production, non-staging, non-mission critical development environment for
diagnosing application performance problems, an object code version of the
Software, its Updates and Documentation, for the limited term set forth below
for up to the number of users on the number of Java Virtual Machines (each a
"JVM") and subject to or other measures  the other terms and conditions set
forth herein. The Software and Updates contains a license key that limits the
term of use, and may contain other devices that limit usage, of the Software,
Updates and Documentation to that which is set forth herein. 

YOU MAY: 
*	install the Software and Updates, in an authorized, non-export restricted
    country in which You are located at the time You download the Software
    and/or Update on a single computer system of Your own only in a development
    environment, such as a software developer's machine ("Designated
    Computer"), in the building in which the Designated Computer is located at
    the time of initial installation ("Site");
*	relocate the Software and Updates to a different Designated Computer of
    Your own, provided any such relocation the Software is removed from the
    prior Designated Computer and there is no usage of the Software and Updates
    beyond that which is authorized herein;
*	use the Software and Updates at the Designated Computer under the scope of
    license granted herein until no later than December 1st, 2005  regardless
    of when you download the Software or Update, unless Mercury agrees in it's
    sole discretion  to extend the term;
*	use the Licensed Program on no more than a single application JVM (Java
    Virtual Machine) at a time;
*	make a copy of the Software and Updates for backup and/or archival
    purposes; and
*	copy and use the Documentation as reasonably necessary in connection with
    Your authorized use of the Software and Updates. 

YOU MAY NOT: 
*	run any load greater than five (5) virtual users or five (5) application
    threads against the application JVM that is instrumented by the Software;
*	install and/or use the Software or Updates in any production, staging or
    mission critical environment;
*	modify, adapt, decompile, disassemble, or reverse engineer the Software,
    Updates and Documentation, except to the extent that the foregoing
    restriction is expressly prohibited by applicable law;
*	create derivative works based on the Software, Updates and Documentation;
*	make unauthorized copies of the Software, Updates and Documentation;
*	allow any third party to use or have access to the Software, Updates or
    Documentation;
*	transfer, lease, lend, sell or relocate Software, Updates and
    Documentation outside the Site without the prior written consent of
    Mercury, or sublicense to any third party, the Software, Updates or
    Documentation, or any part thereof;
*	use the Software, Updates and Documentation to provide services to any
    third party, including Your affiliates or subsidiaries, including but not
    limited to installation, integration, support and testing or monitoring of
    hardware, software, web sites and/or networking solutions; 
*	except to the extent permitted by law, use the Software and Updates as an
    add-in product to any other product without Mercury's prior written consent; 
*	provide externally or to third parties any oral or written communication
    describing or summarizing the features, functions or performance
    characteristics of a Software, Updates or Documentation or that compares
    the Software to any similar product of Yours or any third party; 
*	disclose, reproduce or use Software, Updates or Documentation, except as
    necessary to exercise the licenses granted hereunder and only as permitted
    in this Agreement; or
*	without the prior written consent of Mercury, directly or indirectly
    transfer, assign or otherwise alienate the license nor Your rights under
    this Agreement, whether by contract or operation of law or as a result of
    an acquisition, merger, sale of stock/shares or assets, liquidation,
    reorganization, or a change of ownership or control and whether.

YOU AGREE THAT:
*	So long as You use and treat the Software, Update and Documentation in
    accordance with the terms and conditions of this license, any license fee
    for use of the Software is waived.  
*	You shall pay Mercury for all sales, use and excise taxes and any other
    tax assessments, if any, on the Software You order, exclusive of taxes
    based on Mercury's net income. 
*	You will include on permitted copies of Software and Updates all
    copyright, trademark and other proprietary rights notices included on the
    originals.  The Software, Updates and Documentation contain valuable
    proprietary information and trade secrets of Mercury and You shall protect
    the secrecy of, and avoid disclosure and unauthorized use of, the Software,
    Updates and Documentation.
*	You shall comply with all applicable export control laws and regulations
    with respect to the Software, Updates and Documentation.
*	Any violation or threatened violation of this Agreement may cause
    irreparable injury to Mercury for which injunctive relief may be
    appropriate, in addition to all legal remedies. 
*	Upon violation of any of the provisions of this Agreement or the expiration
    or termination of the term of Your license, Your rights to use the
    Software, Updates and Documentation shall automatically terminate and You
    shall return to Mercury or destroy all copies of the Software, Updates and
    Documentation.
*	The Software, Updates and Documentation are licensed and not sold.

  

CONFIDENTIALITY. The parties shall take reasonable measures to protect the
secrecy of, and avoid disclosure and unauthorized use of, the disclosing
party's ("Discloser's") Confidential Information.  The parties shall not make
each other's Confidential Information available to any third party (other than
those of its employees under nondisclosure obligations), or to use each other's
Confidential Information for any purpose other than as contemplated hereunder.
Mercury may, subject to this Agreement, share Confidential Information with its
parent, parent subsidiaries, subsidiaries affiliates and licensors for the
purpose of administering and performing its obligations hereunder.  The
Software, Updates and Documentation are deemed Confidential Information of
Mercury. "Confidential Information" shall not include any information that:
(i) is at the time of disclosure, or subsequently becomes, publicly known
except by breach of this Agreement; (ii) a party receives ("Recipient") from a
third party, who is not under an obligation of confidentiality to Discloser;
(iii) is independently developed by the Recipient without use of, or reference
to, Discloser's Confidential Information, as shown by Recipient's records; or
(iv) is required by law to be disclosed by Recipient, provided that Recipient
gives Discloser written notice as promptly as possible under the circumstances
of such requirement prior to such disclosure, and provides reasonable
assistance at Discloser's reasonable expense in obtaining an order protecting
the information from public disclosure. 

NO WARRANTIES. THE SOFTWARE, UPDATES AND DOCUMENTATION ARE PROVIDED "AS IS". TO
THE FULLEST EXTENT ALLOWED BY LAW, MERCURY AND ITS LICENSORS DISCLAIM ALL
WARRANTIES, EXPRESS OR IMPLIED IN FACT OR BY OPERATION OF LAW, STATUTORY OR
OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF INFORMATION
GENERATED, SATISFACTORY QUALITY, AND NON-INFRINGEMENT, ALL OF WHICH ARE
EXPRESSLY DISCLAIMED. THESE DISCLAIMERS ARE AN ESSENTIAL PART OF THIS
AGREEMENT.

LIMITATION OF LIABILITY. EXCEPT FOR ANY DAMAGES ARISING FROM A BREACH OF THE
CONFIDENTIALITY OBLIGATIONS OR THE LICENSE GRANT AND RESTRICTIONS HEREUNDER FOR
THE SOFTWARE, UPDATES AND DOCUMENATION, TO THE FULLEST EXTENT ALLOWED BY LAW,
THE PARTIES EXCLUDE (FOR THEMSELVES AND THEIR RESPECTIVE THIRD PARTY LICENSORS,
SUPPLIERS AND CONTRIBUTORS) ANY LIABILITY, WHETHER BASED IN CONTRACT, TORT
(INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, FOR INDIRECT, CONSEQUENTIAL,
INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES OF ANY KIND, EVEN IF THE PARTY HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT FOR ANY DAMAGES ARISING FROM
A BREACH OF THE CONFIDENTIALITY, MERCURY'S MAXIMUM LIABILITY TO YOU FOR DAMAGES
ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER BASED IN CONTRACT, TORT
(INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WILL NOT EXCEED THE GREATER
OF AMOUNTS PAID BY YOU IN THE PREVIOUS TWELVE (12) MONTHS FOR THE PARTICULAR
SOFTWARE GIVING RISE TO THE CAUSE OF ACTION OR $50.00.  TO THE EXTENT NOT
PROHIBITED BY LAW, MERCURY'S THIRD PARTY LICENSORS, SUPPLIERS OR CONTRIBUTORS
SHALL NOT BE LIABLE TO YOU FOR ANY AMOUNT OR KIND OF DAMAGES ARISING OUT OF USE
OF, OR INABILITY TO USE, THE SOFTWARE OR OTHERWISE IN CONNECTION WITH THIS
AGREEMENT. THESE DISCLAIMERS AND LIMITATIONS OF LIABILITY WILL NOT BE AFFECTED
IF ANY REMEDY PROVIDED HEREIN FAILS OF ITS ESSENTIAL PURPOSE.

NO MAINTENANCE AND SUPPORT.  Technical support services for the Software,
Updates and Documentation is not available from Mercury. However, Mercury may
in its sole discretion create a WWW based forum on a Web site for users of the
Software to share information on their own use and support of the Software.
Mercury may in its sole discretion make maintenance Updates available for the
Software at its designated Web site. "Updates" means bug fixes, patches,
maintenance releases or version upgrades only to the extent they are generally
made available to licensed users of the Software on Mercury's applicable Web
site at no charge.

US GOVERNMENT RESTRICTED RIGHTS. The Software, Updates and Documentation are
"commercial item(s)," as that term is defined at 48 C.F.R 2.101 (Oct. 1995),
consisting of "commercial computer software" and "commercial computer software
documentation," as such terms are used in 48 C.F.R 12.212 (Sept. 1995).
Consistent with 48 CFR 12.212 and 48 C.F.R 227.7202-1 through 227.7202-4 (June
1995) (or an equivalent provision, e.g., in supplements of various U.S.
government agencies, as applicable), all U.S. Government users acquire the
Software, Updates and Documentation with only those rights set forth herein. 

AUDIT RIGHTS. You shall maintain complete and accurate books and records
relating Your use and deployment of the Software, Updates and Documentation.
Mercury shall have the right at its own expense, during Your normal business
hours and upon reasonable advanced written notice, to audit Your computers,
books and records as they pertain to the foregoing to verify Your compliance
with this Agreement. Mercury may share the results of audits with its
licensors.
 
GENERAL PROVISIONS. This Agreement represents the complete agreement concerning
this license, supersedes all prior agreements, and except where set forth
herein may be amended or modified only by a writing executed by duly authorized
representatives of both parties. The following shall survive expiration or
termination of this Agreement: License and Confidentiality Restrictions, No
Warranties, Limitation of Liability, Audit Rights, and General Provisions. This
Agreement is governed by, and is to be interpreted in accordance with the laws
of the State of California, excluding its conflict of law rules. The United
Nations Convention on Contracts for the International Sale of Goods is
expressly disclaimed. If any provision of this Agreement is held by a court of
competent jurisdiction to be invalid under any applicable statute, rule or law,
the parties agree that such invalidity shall not affect the validity of the
remaining provisions of this Agreement, and further agree to substitute for the
invalid provision a valid provision which most closely approximates the intent
and economic effect of the invalid provision.  Headings used in this Agreement
are provided for convenience only and shall not in any way affect the meaning
or interpretation hereof. A waiver of a breach or default under this Agreement
shall not be a waiver of any other breach or default.  Failure of either party
to enforce compliance with any term or condition of this Agreement shall not
constitute a waiver of such term or condition unless accompanied by a clear
written statement that such term or condition is waived. Mercury will not be
responsible for any failure to perform due to "force majeure" causes beyond its
reasonable control including, but not limited to, acts of God, riots,
embargoes, terrorist acts, acts of civil or military authorities, disruptions
in the flow of data to or from networks, denial of or delays in processing of
export license applications, accidents, strikes, fuel crises or power outages.
